Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and Recenzi (“Recenzi,” “we,” “us,” or “our”) governing your access to and use of the Recenzi website, application, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for safeguarding your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. The Service

Recenzi provides analytics and insights for multi-location Google Business Profiles and related marketing data. We may add, change, or remove features over time. We do not guarantee that the Service will be uninterrupted, error-free, or that any particular result or outcome will be achieved.

4. Connected accounts and third-party services

The Service lets you connect third-party accounts, such as Google Business Profiles, call-tracking providers, and CRMs. By connecting an account, you authorize Recenzi to access and process data from that service as described in our Privacy Policy, and you confirm you have the right to grant that access. Your use of any third-party service remains subject to that provider’s own terms, and we are not responsible for third-party services.

5. Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party rights, including the terms of any connected service;
• Access another user’s account or data without authorization;
• Reverse engineer, scrape, overload, or interfere with the Service or its security;
• Resell or provide the Service to a third party except as expressly permitted; or
• Upload malicious code or use the Service to transmit unlawful or harmful content.

6. Fees and payment

Paid plans are billed according to the pricing presented when you subscribe. Unless stated otherwise, fees are charged in advance, are non-refundable except where required by law, and may change with notice. You are responsible for applicable taxes. If a payment fails, we may suspend or limit access until it is resolved.

7. Your data and content

You retain all rights to the data and content you provide or connect to the Service (“Your Content”). You grant Recenzi a limited license to host, process, and display Your Content solely to operate and improve the Service and provide it to you. You are responsible for ensuring you have the rights necessary to provide Your Content.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by Recenzi and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. All rights not expressly granted are reserved.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; some provisions, by their nature, survive termination.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Recenzi does not warrant that insights, analytics, or recommendations will be accurate or complete, and you are responsible for the decisions you make based on them.

11. Limitation of liability

To the fullest extent permitted by law, Recenzi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold Recenzi harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

13. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

14. Governing law

These Terms are governed by the laws of the United States and the state in which Recenzi is established, without regard to conflict of law principles. Any disputes will be resolved in the courts located there, unless applicable law requires otherwise.
